地产并购私募基金掘金术:银行关注类资产变“富矿”-搜狐证券   本报记者 杨晓宴 上海报道  尽管经济处于下行通道,但其中总隐藏着商机。  在关注类贷款劣变为不良贷款之前,银行着手处理贷款企业的相关抵押资产(主要为房地产),出售转让价远低于资产估值;而这,正构成了地产并购基金的机会所在。  据银监会披露,截至2015年年底,全国商业银行不良贷款余额为12744亿元,不良贷款率1.67%。关注类贷款余额则是不良贷款的两倍多,占比3.75%。  仅从相关私募基金的优先级预期收益年化9%-15%(半年到五年),就可窥见其收益之丰。“资金七弯八拐还是进到地产了。” 广州一名不良处置资深人士表示。  除了广义银行不良资产的来源,国有资产处置也是该类基金并购资产的富矿。  关注类资产机会“在资产荒的情况下,地产仍然是比较好的防线,并购有空间。”德晟资本财富管理中心上海第一分公司总经理华立群向21世纪经济报道记者表示,关键在于,并购前对目标资产的价值判断,并购后通过资源整合、优化运营模式及金融技术操作来提升物业价值。  去年10月,德晟资本开始发行商业资产并购私募基金,主要投资于具有增值潜力或有稳定现金流的办公楼、社区商业、旅游文化商业、产城一体化业态等,目前正在对一些目标物业进行评判并实施收购。  据华立群介绍,在商业地产并购项目中,很多投资人的着眼点在于基金管理人从哪里,以及如何拿到“显著低于资产评估价或市场交易价格”的房产。其中,银行坏账处置(还在关注类贷款时)是重要途径之一。  “银行关注类贷款,就是还没到不良时,银行和企业其实都希望能够提早解决。企业现金流断了,唯一的办法就是处置固定资产。否则真的变成不良,双方都没有好处。”华立群介绍道,“抵押物要尽快处置,几乎不可能按照市场价格来,特别是办公楼,因为不那么容易转手,金额又比较大。而且银行也不需要以市场价成交,只要把贷款和利息收回就可以。如果错过了这个时机,资产从关注类变成了不良,更加不利于资产的处置。”  那么,在这个时机介入,利润空间有多大?  企业通常可将有租金收入或其他经营收入的资产(如办公楼)以评估价值的50%抵押给银行,一旦企业出现违约,银行将抵押资产列入关注类资产,私募基金一般可以资产评估价格的5-7折进行收购,具体而言,全部还完银行贷款后获得资产所有权。  一种最简单粗暴的退出方式,就是卖给第三方;另外,退出方式还包括将资产注入上市公司资产,REITs(房地产信托投资基金)等。但其间需要对并购资产进行优化运营,研判商业地产的波动趋势。  运营能力是关键  低价房产的第二个重要来源,则是国有资产处置。多名市场人士向21世纪经济报道记者表示,国有企业改革,国有资产剥离等过程中,有一些较低价格的资产流入市场。“涉及国有资产保全,评估标准是成本价,而非市场价,所以也就容易以低于市场价的价格获得。”  但前述资深人士表示,国有资产处置需要在产权交易所等公开市场挂牌交易,成交价格是公开的,市场也是竞争的,不太可能出现绝对低价。  华南地区一名股权投资私募基金人士还表示,收并购价格是偏高还是偏低,本身并不容易判断,考验的是机构的经验。  “只有外行才会说,我以几折的价格拿下了那个楼。”前述广州不良处置资深人士向21世纪经济报道记者坦言,“在国内,第三方评估价很多时候纯粹就是个数字,没有意义,也不存在一个所谓具有共识的市场价,因为二级市场的交易非常不活跃。最终交易价格低于评估价很正常。”  华南地区一名股权投资私募基金人士认同了上述说法,其还透露: “去年就已经爆掉了几只房地产私募基金,也没有那么好做。”  华立群提到,收购价格的确定是相对简单直观的计算,在实际操作过程中,除了收购价格,更多还是考验整个基金管理团队对项目的价值再提升和最终获取投资收益。  前述提到的资源整合和优化运营,主要是根据市场情况,对物业进行一定改造。  华立群向21世纪经济报道记者举例道,比如从原来散租,到整租给酒店等,出租率得到提升的同时,整体租金收入也可能更高;或参与政府类人才公寓等项目;达到一定能力,类似老厂房产业化园区改造,也有较大的收益空间。  作者:杨晓宴相关的主题文章:
